On The Rocks In Colorado

A Colorado non profit corporation 

Article I—Objectives

The objectives of On The Rocks In Colorado are to provide a fellowship of individuals and families who enjoy four wheeling; to promote and encourage fun, safe, ethical use of our Colorado landscape; to sponsor functions which those individuals and families can attend; to encourage conservation of our natural resources; to assist the National Forest Service and community at large; and to welcome the new-comer to four wheeling.

Article II—Name

The club is incorporated under On The Rocks In Colorado in accordance with Colorado State Law.  On The Rocks In Colorado retains all rights to names and logos contained herein.  Names and Logos may not be used or reproduced without the written consent of the club membership

Article III—Voting

All voting will be by simple majority of members in good standing except where noted Voting will be conducted on a one membership one vote basis Votes will be held at normal club meetings or by proxy using one of the following three methods: mail, official club email address, or providing authorization to another member with signature.

 

Article IV-- Membership
A. Membership in On The Rocks In Colorado is limited to 20 vehicles.
Members shall abide by all state, local, and federal laws and
regulations. They will abide by club by-laws. A membership shall be
described as all individuals of a single household. A household may
elect to have additional individual membership(s) if there are
multiple trail vehicles.
Members must remain in good standing. A member is considered in good
standing if all dues and fees have been paid. The member will lose
his/her good standing when due date has passed and membership can be
cancelled if good standing is not restored within 2 months.

B. Eligibility
1. Prospective members must be sponsored by a current member.
2. Prospective members will be required to familiarize themselves with
the by-laws.
3. Prospective member must be invited to attend a club meeting by their
sponser. At this meeting they will be asked to give a brief biography,
explain why they are looking to join and what they feel they bring to the
club,
4. New members must be nominated for membership by a current member. The
nominating member must be someone other than their sponser.
5. Voting for new members will be conducted at a closed meeting once a
quarter. All members in good standing may vote at the meeting or with a
proxy.

6. Becoming a member requires a vote by the membership where less than 4
'NO' votes are cast.

C. Membership Termination
1. Members may resign from the club in writing at any time; dues will not
be refunded.
2. Any member in good standing may call for a review of any member.
Following discussion and possible investigation, a vote may be called for
the termination of membership for the party in question.
3. Use of alcohol consumption by drivers immediately prior to or on the
trail will not be tolerated and will be grounds for termination of club
membership.
4. Membership is automatically up for review if member fails to be in
good standing for 6 consecutive months.

D. Membership Types
1. Club Members – Regular members of the club with full voting rights
on all matters affecting the club.
2. Honorary Associate Members – Members that do not have voting
rights and are not required to meet any minimum requirement for inclusion
or continuation of membership. Any voting member in good standing of On
The Rocks In Colorado can submit an individual or Corporation for vote as
an Honorary Associate Member.
3. Gold Corporate Members - Will be members that receive advertising
on all pages of the web site. They will not have voting rights but will
receive preferential treatment in all advertising. The membership fee will
be decided by the board of directors it is expected initially that there
will be two of these memberships offered at $500.00 per year.
4. Corporate Members - These memberships shall receive a advertising
space on the top level link page and preferential treatment in all
advertising after the gold corporate members. This membership will be
limited by the decision of the board of directors.

E. Dues
Dues are based on type of membership.
1. Club Members will be required to pay annual dues of $55.00 per year.
Members joining after July 1st are required to pay a prorated amount of
$30.00 for their first year. New Members will also receive two free
vehicle decals per membership.

2. Honorary Associate Members shall pay no dues and will remain honorary
members until a majority of the membership decides otherwise.
3. Gold Corporate Members will pay annual dues decided by the Board of
Directors.
4. Corporate Members will pay annual dues of $100.00 per year.   Failure to pay proper dues will result in loss of good standing and voting privileges until all fees are paid in full. Dues over one month past due
shall incur a $10.00 late fee. Members not in good standing for 2 consecutive months can be brought up for review and membership may be canceled by the Board of Directors. As stated in Article IV section C
that membership is automatically up for review if member fails to be in good standing for 6 consecutive months. 
 

Article V--Officers

1.      Officers will be nominated at the November club meeting. Elections will take place during the December meeting; and the new officers will assume office at the January meeting.  Candidates must be in good standing and may be presented as volunteer or nominated by a member in good standing.


2.      Officers will be:
         A.    President – duties shall include: conduct club meeting, act as liaison between club and outside entities.  Update and maintain club web site as necessary.  Organize and post club schedule for calendar year.
         B.     Secretary—duties shall include:  support president as necessary, maintain record of club meetings and act as president in his/her absence.  Produce club newsletter for distribution.
         C.     Treasurer—duties shall include: maintain an accurate written record of club finances, report finances to club members. Support president as necessary.
         D.  Officers may be removed following receipt of a written complaint from any member in good standing.  Following discussion and possible investigation, a 2/3 majority of total membership vote will be required to remove an officer.  Officers may resign by notifying membership in writing (paper or e-mail).

Article VI—Finances

A.     Club fiscal year will run on normal calendar year. 

B.     Expenditures exceeding $50.00 must be approved by the club membership in a simple majority vote.

C.     A checking account will be opened on-line upon incorporation and receipt of a tax id; all members will have access to view the account.  President, Secretary and Treasurer will act as “signatures” for the account. 

Article VII—Changes or Amendments to by-laws.

Any member shall present proposed changes/amendments to the patrol in writing at regularly scheduled patrol meetings.  Changes/amendments will be voted on at the meeting decided by a majority of the membership.
